Staff SWE comp at PANW, Bay Area, 2026

sharing my offer from Q1 2026 for a Staff SWE role on the Cortex platform team, Santa Clara base: Base: $235k Annual bonus target: 20% ($47k target) RSU: $600k over 4 years, quarterly vest after year 1 cliff Sign-on: $50k (payback clause year 1)

Total comp year 1 depends on stock price and bonus payout, but at grant price: roughly $432k TC.

FYI PANW RSUs are double-trigger, which is slightly better for acquisition scenarios than single-trigger. stock has had solid appreciation over 3 years so the grant value picture looks different from the face value depending on when you were granted.

did not have a competing offer so this was basically their first number. probably room to negotiate base up $10-20k and sign-on if you push.

the bonus structure at security companies like PANW is interesting because the bonus actually pays out reasonably consistently. unlike a lot of FAANG where it's 'target' but really variable. anyone have data on actual payout percentages vs. target?

I asked during offer negotiation. was told typical payout the last 3 years was 95-110% of target. obviously forward-looking statements, but that's the signal I got from the recruiter.

is that offer location-adjusted if you're remote? curious whether they hold the same band for remote Bay Area vs. Austin.

double-trigger RSU is worth noting. more companies should lead with that in the offer conversation but most don't. good data point.
