sharing my numbers since i couldn't find recent data when i was negotiating.

role: senior SWE (L5), compute platform team, Santa Clara total YOE: 7 offer received: January 2026 base: $205k annual bonus target: 15% ($30k) RSU grant: $800k over 4 years (25% per year, no cliff) sign-on: $40k (one year, clawback)

year 1 TC: ~$395k steady state TC: ~$435k (assuming flat stock, which lol)

negotiation: they came in at $185k base, $700k RSUs. i countered with a competing offer from a hyperscaler. got the base up to $205k and RSUs to $800k after one round. they wouldn't touch the bonus structure.

note: NVIDIA stock performance makes this math look very different depending on when you joined. vesting at current price is obviously better than it was 3 years ago. but comp at grant price is what you negotiate.

the 4-year with no cliff is relatively rare. NVIDIA has done that for a while or is this new? most of the FAANG adjacent offers i see are still 1-year cliff standard.

no cliff, confirmed in the offer letter. recruiter said it's standard for their SWE bands. i double-checked because i didn't believe it either.

sign-on with a 1-year clawback is aggressive when the RSUs vest quarterly. if you leave at 13 months you keep all Q1-Q4 vests but still owe back the sign-on if you leave before 12 months. always worth knowing the calendar.

the steady-state number assumes 100% of granted RSUs vest on schedule and stock price stays flat. worth modeling a few scenarios if you're comparing to a cash-heavy offer. NVDA's run has been exceptional but not guaranteed forward.

honest question: is the $800k RSU number at grant price or current market when they made the offer? some companies quote grant price, some quote the day-of-offer market price and they're very different right now.

grant price, calculated at the day the offer was extended. the actual value of the vest depends on share price at vest date. NVIDIA doesn't do double-trigger like some companies.
